Welcome to My Digital Patron. By accessing or using our services, you agree to abide by these Terms and Conditions. These terms govern your relationship with My Digital Patron, including the services we provide and your responsibilities as a client.

1. Definitions

• Agency: Refers to My Digital Patron, its employees, agents, and representatives.
• Client: Refers to the individual, company, or entity engaging the Agency for services.
• Services: Refers to the digital marketing services provided by the Agency, including but not limited to paid advertising, SEO, website development, and social media management.

2. Scope of Services

The Agency will provide the services agreed upon in the signed Service Agreement or Proposal. The specifics of the services, timelines, deliverables, and fees will be outlined in the Service Agreement.

3. Client Responsibilities

The Client agrees to:

1. Provide Accurate Information: The Client must provide truthful and accurate business information, including registration certificates, GST details, and proof of legitimacy.
2. Compliance with Laws: The Client’s business and promotional activities must comply with applicable local, national, and international laws and regulations.
3. Timely Payment: Payments must be made on time as per the agreed terms. Non-payment may result in suspension or termination of services.
4. Use of Services: The Client shall not use the Agency’s services for fraudulent, illegal, or unethical purposes.

4. Verification and Background Checks

The Agency reserves the right to verify the Client’s business legitimacy before commencing services. This may include:

• Business registration documents.
• Proof of ownership or authorization for the business being promoted.
• ID verification of the business owner or authorized signatory.

Failure to provide adequate documentation may result in termination or refusal of services.

5. Payment Terms

1. All fees are outlined in the Service Agreement or Proposal. Payments are due as per the agreed schedule.
2. Late payments will incur a penalty of 1% per day.
3. No refunds will be issued for services already rendered.
4. If services are terminated due to Client misconduct or fraudulent activities, the Client remains liable for all outstanding payments.

6. Indemnification

The Client agrees to indemnify and hold harmless the Agency, its employees, and agents from and against any claims, damages, losses, or liabilities arising from:

1. Misrepresentation of the Client’s business.
2. Fraudulent or illegal activities conducted by the Client.
3. Non-compliance with applicable laws or regulations.

7. Limitation of Liability

The Agency is not liable for:

1. Losses or damages resulting from the Client’s fraudulent or illegal activities.
2. Suspension or termination of accounts by third-party platforms (e.g., Google, Facebook) due to Client violations.
3. Any indirect, consequential, or incidental damages arising from service use.

The Agency’s total liability for any claims will not exceed the amount paid by the Client for the services in question.

8. Termination of Services

1. By the Agency: The Agency reserves the right to terminate services immediately if the Client is found engaging in fraudulent, illegal, or unethical practices.
2. By the Client: The Client may terminate services by providing a written notice of 15 days, subject to payment of all outstanding fees.
3. No refunds will be issued for services already delivered or partially delivered at the time of termination.

9. Confidentiality

1. Both parties agree to maintain the confidentiality of all proprietary information shared during the engagement.
2. The Agency will not disclose any confidential information about the Client’s business unless required by law or with the Client’s explicit consent.

10. Intellectual Property

1. All materials created by the Agency, including but not limited to ad creatives, website designs, and campaign strategies, remain the property of the Agency until full payment is received.
2. The Client must not use these materials without prior written consent if payments remain outstanding.

11. Client Acknowledgment of Policies

1. The Client acknowledges that third-party platforms (e.g., Google Ads, Facebook Ads) have their own policies and terms, which the Client is responsible for adhering to.
2. The Agency is not responsible for account suspensions or penalties imposed by third-party platforms due to the Client’s actions.

12. Disclaimer

The Agency does not guarantee specific results from digital marketing campaigns, as performance depends on several external factors, including market conditions, audience behavior, and platform algorithms.

13. Dispute Resolution

1. Any disputes arising from this Agreement will be resolved amicably through negotiation.
2. If disputes remain unresolved, they will be subject to arbitration under the Arbitration and Conciliation Act, 1996, with the venue being Bilaspur (CG), India.

14. Governing Law

This Agreement is governed by the laws of India. Any legal proceedings will be conducted in the jurisdiction of Bilaspur (CG), India.

15. Amendments

The Agency reserves the right to update or modify these Terms and Conditions at any time. Clients will be notified of significant changes, and continued use of the services constitutes acceptance of the updated terms.

16. Force Majeure

The Agency is not liable for delays or failure in service delivery due to events beyond its reasonable control, including natural disasters, strikes, or technological disruptions.

17. Entire Agreement

These Terms and Conditions, along with the signed Service Agreement, constitute the entire agreement between the Agency and the Client, superseding any prior agreements or understandings.

By engaging with My Digital Patron, you acknowledge that you have read, understood, and agreed to these Terms and Conditions.
